Terms of Service

1. Who We Are; Not a Lender

Antal is a technology company. We provide software and workflow tools to help real estate investors prepare and transmit information to third-party lending partners. We are not a bank, lender, broker, or law firm, and we do not extend credit. Any loan is subject to separate approval, underwriting, and documentation by a licensed lending partner. A submission through the Platform is not a commitment to lend, an offer of credit, or a guarantee of terms, rates, or approval.

2. Eligibility

You may use the Platform only if you:

• Are at least 18 years of age and able to form a binding contract;
• Use the Platform for lawful business purposes related to investment property financing;
• Provide accurate, current, and complete information and keep your account credentials secure.

3. Accounts; Identity and Verification

You are responsible for all activity under your account. You agree to cooperate with identity verification, fraud prevention, and regulatory requirements, including providing government-issued identification, tax identification, and financial data when requested. Where you authorize us or our vendors (for example, Plaid, consumer reporting services, or identity providers) to obtain information about you, you confirm you have the right to provide that authorization and that such access is for a permissible purpose under applicable law, including the Fair Credit Reporting Act where applicable.

If automated verification is unavailable, you may be asked to confirm or enter information manually. Information you supply in that case is treated as provided by you for your application and may be used in accordance with our Privacy Policy and these Terms.

4. Acceptable Use

You agree not to:

• Violate any law or infringe others' rights;
• Submit false, misleading, or fraudulent information;
• Attempt to probe, scan, or test the vulnerability of the Platform or bypass security;
• Reverse engineer, scrape, or misuse the Platform except as allowed by law;
• Use the Platform to transmit malware or interfere with our or others' systems.

We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to the Platform, users, or partners.

5. Intellectual Property

The Platform, including software, branding, text, graphics, and layout, is owned by Antal or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. No other rights are granted.

6. Third-Party Services and Lenders

The Platform may link to or integrate third-party services (including lenders, credit bureaus, data aggregators, and e-sign providers). Those services have their own terms and privacy practices. Your relationship with any lender is separate from these Terms. We do not control lender decisions, timing, or documentation.

7. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

Nothing on the Platform is legal, tax, or investment advice. Rates, programs, and eligibility criteria may change without notice. Investment properties only; all loans subject to credit approval.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANTAL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM OR ANY LOAN OUTCOME, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNTS YOU PAID TO ANTAL FOR USE OF THE PLATFORM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (IF ANY). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

9. Indemnity

You will defend, indemnify, and hold harmless Antal and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your content or data you submit, or your violation of these Terms or applicable law, except to the extent caused by our gross negligence or willful misconduct.

10. Changes

We may modify these Terms from time to time. We will post the updated Terms at antalcapital.com/terms with a revised effective date. Material changes may require additional notice where required by law. Continued use after the effective date constitutes acceptance of the updated Terms.

11. Governing Law; Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where preempted by U.S. federal law. Courts located in Delaware shall have exclusive jurisdiction for disputes arising from these Terms or the Platform, subject to any right you may have under applicable consumer protection law to bring a claim in your home jurisdiction.
